These Terms of Service (“Terms”) govern access to and use of the websites, platform, products, and services provided by Riviot LLC (“Riviot”, “we”, “us”, “our”), including www.riviot.com and any related applications, software, and tools (collectively, the “Platform”).

By accessing or using the Platform, creating an account, posting a project or role, applying for work, or otherwise engaging with Riviot, you agree to these Terms. If you do not agree, do not use the Platform.

  1. Definitions

Client means an enterprise, systems integrator, telecom provider, MSP, or other organisation that posts a project, role, or brief, browses talent, or engages resources through the Platform.

Talent means an individual professional who creates a profile, applies to roles, is matched to work, or provides services through the Platform.

Project / Role means any project brief, statement of work, assignment, or vacancy posted by a Client.

Marketplace Services means Riviot’s self-serve talent marketplace, including AI scoping, matching, vetting, contracting tools, and related functionality.

Managed Resourcing Services means any services where Riviot actively supports sourcing, onboarding, scheduling, or delivery oversight, under separate commercial terms.

Content means all text, data, documents, photos, profiles, project briefs, messages, reviews, or other material submitted to or displayed on the Platform.

AI Outputs means any automated scoping, matching, estimates, or recommendations generated by our systems.

  1. Eligibility and Accounts

2.1 Eligibility. You must be at least 18 years old and able to enter into a binding contract to use the Platform.

2.2 Account registration. You agree to provide accurate, current, and complete information and to keep it updated.

2.3 Account security. You are responsible for all activity on your account. Notify us promptly of any unauthorised use.

2.4 Account types. Clients and Talent may have different access, tools, or workflows. We may change account features at any time.

  1. Platform Role and Relationship

3.1 Riviot is a marketplace. Unless explicitly stated in writing, Riviot is not a party to any agreement between Clients and Talent. We provide tools to enable scoping, matching, engagement, and optional managed support.

3.2 No employment relationship. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between Riviot and any Talent or Client.

3.3 Independent contractor status. Clients engage Talent as independent professionals unless otherwise agreed between those parties. Clients are solely responsible for determining proper classification under applicable law, including California AB5 and related tests.

3.4 Managed Resourcing. If you purchase Managed Resourcing Services, those services are governed by a separate agreement or statement of work. If there is a conflict, that agreement controls.

  1. Marketplace Services

4.1 For Clients. Clients may post Projects/Roles, request AI scoping, browse Talent, and engage Talent through the Platform.

4.2 For Talent. Talent may create profiles, submit credentials, be vetted, receive matches, apply to Projects/Roles, and contract with Clients.

4.3 AI scoping and matching. AI Outputs are recommendations based on the information provided and marketplace data. They are not guarantees. Clients remain responsible for final scope, selection, and delivery decisions.

4.4 Vetting. We apply AI-assisted and human review to verify profiles, credentials, and experience. However, we do not guarantee performance, suitability, or outcomes, and clients must do their own due diligence.

  1. Client Responsibilities

Clients agree to:

5.1 Provide accurate and lawful Project/Role information, including location, scope, deliverables, timelines, qualifications, and any compliance requirements.

5.2 Use the Platform in compliance with all applicable laws, including anti-discrimination, labour, tax, and data protection laws.

5.3 Not misrepresent roles, rates, conditions, or project requirements.

5.4 Maintain secure handling of any Talent information received and use it only for legitimate resourcing purposes.

5.5 Ensure any engagement with Talent is documented under appropriate contractual terms, whether through Platform tools or internal procurement.

  1. Talent Responsibilities

Talent agree to:

6.1 Provide accurate profile information, certifications, work history, and identity details.

6.2 Maintain current status for availability, location, rates, and qualifications.

6.3 Perform any accepted Project/Role with professional care, competence, and in line with Client scope.

6.4 Comply with applicable laws, site policies, safety rules, and confidentiality obligations.

6.5 Not circumvent or abuse Marketplace processes (for example, soliciting Clients to avoid Platform fees where applicable).

  1. Fees, Payments, and Billing

7.1 Fees. We may charge Clients and/or Talent fees for Marketplace Services, Managed Resourcing Services, or premium features. Fees will be disclosed before you incur them.

7.2 Payment processing. Payments may be processed through third-party providers. You agree to their terms where applicable.

7.3 Taxes. Clients and Talent are responsible for their own taxes, reporting, and filings unless otherwise agreed in writing. Riviot does not provide tax advice.

7.4 Late payments. We may suspend accounts or restrict services for overdue balances.

7.5 Future escrow or milestone tools. If escrow or milestone-based payments are enabled, the applicable rules will be set out in the relevant workflow or supplemental terms.

  1. Content and IP

8.1 User Content licence. You retain ownership of Content you submit. You grant Riviot a worldwide, non-exclusive, royalty-free licence to host, use, reproduce, and display your Content solely to operate, market, and improve the Platform.

8.2 Responsibility for Content. You are responsible for the Content you submit. We may remove Content that violates these Terms.

8.3 Platform IP. The Platform, AI systems, workflows, branding, and all associated IP are owned by Riviot or our licensors. You may not copy, reverse engineer, or misuse them.

8.4 Feedback. If you provide feedback or suggestions, you grant us the right to use them without restriction or compensation.

  1. Prohibited Use

You may not:

use the Platform for unlawful, fraudulent, or deceptive purposes;

post false or misleading Projects/Roles or profiles;

harass, discriminate against, or exploit any user;

attempt to access accounts or data not belonging to you;

scrape, crawl, or harvest Platform data without permission;

bypass Platform engagement or payment processes where fees apply;

introduce malware, interfere with Platform operation, or overload systems.

We may suspend or terminate access for breaches.

  1. Privacy and Data Protection

10.1 Privacy Policy. Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms.

10.2 California privacy rights. If you are a California resident, you may have rights under the CCPA/CPRA, including rights to know, delete, correct, and limit use of sensitive information.

10.3 Service providers and contractors. To the extent Riviot processes data on behalf of Clients, contractual CPRA obligations apply. We may require data-processing addenda for enterprise Clients.

10.4 Security. We take reasonable steps to protect data but cannot guarantee absolute security.

  1. Third-Party Services

The Platform may integrate or link to third-party services. We do not control and are not responsible for third-party content or services. Your use of third-party services is at your own risk.

  1. Disclaimers

12.1 No warranty. The Platform and AI Outputs are provided “as is” and “as available”. We disclaim all implied warranties to the fullest extent allowed by law.

12.2 No guarantee of work or hiring. We do not guarantee that Clients will fill Projects/Roles or that Talent will receive offers or engagements.

12.3 AI limitations. AI Outputs may be incomplete or inaccurate depending on inputs. Clients should validate outputs before relying on them.

  1. Limitation of Liability

13.1 To the maximum extent permitted by law, Riviot will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profit, revenue, data, or goodwill.

13.2 Our total liability for any claim arising from these Terms or the Platform will not exceed the fees paid to Riviot in the 12 months before the event giving rise to the claim.

13.3 Nothing in these Terms limits liability where California law prohibits such limitation, including for willful injury or fraud.
Steptoe

  1. Indemnification

You agree to indemnify and hold Riviot harmless from claims, damages, and expenses arising from your misuse of the Platform, your Content, or your breach of these Terms.

  1. Disputes and Arbitration

15.1 Informal resolution first. Before filing a claim, you agree to contact us and try to resolve disputes informally.

15.2 Arbitration. Except where prohibited by law, disputes arising from these Terms will be resolved by binding arbitration in California under the rules of the American Arbitration Association.

15.3 Consumer notice. For consumer users, arbitration terms will be presented in a clear, conspicuous manner and may be subject to California limitations.

15.4 Class action waiver. Where legally enforceable, you agree to bring claims only on an individual basis and not as part of any class or representative action.

15.5 Injunctive relief. Either party may seek injunctive relief in court for unauthorised use of IP, data misuse, or security breaches.

  1. Reviews and Communications

16.1 Reviews. Users may leave honest reviews. We do not allow clauses that restrict truthful reviews, in line with California law.
Latham & Watkins

16.2 Communications. By using the Platform, you consent to receive transactional communications. Marketing communications will comply with your preferences and applicable law.

  1. Suspension and Termination

17.1 We may suspend or terminate accounts that breach these Terms, pose risk to other users, or misuse the Platform.

17.2 You may close your account at any time. Some information may be retained where required by law or legitimate business need.

  1. Changes to Terms

We may update these Terms from time to time. We will post the revised Terms on the Platform and update the “Last updated” date. Continued use after changes means you accept them.

  1. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
